Licensor: Ben Howdle Limited, a company registered in England and Wales under number 08781098, whose registered office is 86-90 Paul Street, London, EC2A 4NE, United Kingdom (VAT GB267181684) ("we", "us", "Licensor").
Licensee: [LICENSEE LEGAL NAME], [company number / address] ("you", "Licensee"). The Licensee is the organisation named on the purchase or invoice for this licence.
Service means ReqRes, the hosted test and mock API service operated by the Licensor at reqres.in and its subdomains. Licence Tier means the tier purchased (Team Licence or Company Licence). Term means the 12-month period beginning on the purchase date and any renewal period. Fees means the annual licence fee for the Licence Tier.
Subject to payment of the Fees and the terms of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable licence to use the Service for the Licensee's internal and commercial purposes for the Term, scoped by the Licence Tier:
The Licensee shall not, without a separate written agreement with the Licensor: (a) resell, redistribute, sublicense or embed the Service in a product made available to third parties (see OEM / redistribution terms, available on request); (b) represent the Service as its own; or (c) attempt to gain unauthorised access to, or disrupt, the Service.
This licence runs for the Term and renews automatically for successive 12-month periods unless either party cancels before the renewal date. Fees are the published annual price for the Licence Tier, are exclusive of VAT (added where applicable), and are payable by card or by invoice (NET 30) as agreed at purchase. A licence certificate is issued on payment and a reminder is sent before each renewal.
The Licensor provides email support at hello@reqres.in. The Company Licence includes a named support contact. Support is provided on a commercially reasonable-efforts basis; no specific response or resolution time is guaranteed unless separately agreed in writing.
The Service is a test and mock API. It is intended for fixture, sample and test data only. The Licensee shall not store production personal data, special-category data, or other sensitive or regulated data in the Service. The Licensee is responsible for the data it submits and for its compliance with applicable data-protection law. See the accompanying Security & Architecture summary for how the Service handles data.
The Service is provided "as is" and "as available". The Licensor will use commercially reasonable efforts to keep the Service available but does not warrant that it will be uninterrupted or error-free. Except as expressly stated, all warranties, conditions and terms implied by statute or common law are excluded to the fullest extent permitted by law.
Nothing in this Agreement limits liability that cannot be limited by law. Subject to that, the Licensor's total aggregate liability arising out of or in connection with this Agreement shall not exceed the Fees paid by the Licensee in the 12 months preceding the claim, and the Licensor shall not be liable for any indirect or consequential loss, loss of profits, revenue, data or goodwill.
Either party may terminate this Agreement on written notice if the other commits a material breach that is not remedied within 30 days of notice. On termination, the licence granted under clause 3 ends and the Licensee shall cease commercial use of the Service. Fees already paid are non-refundable except where required by law.
Each party shall keep confidential any non-public information disclosed by the other in connection with this Agreement and use it only to perform this Agreement.
This Agreement and any dispute arising out of it are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
This Agreement is the entire agreement between the parties on its subject matter. The Licensee may not assign it without the Licensor's consent. Notices may be sent to hello@reqres.in and to the Licensee's billing contact. Any variation must be in writing.
